Veritain — Terms of Service

1. Agreement

These Terms govern your use of Veritain and the reports we provide. By creating an account or purchasing a report you agree to them. Veritain is a business-to-business service; you confirm you are using it for purposes related to your trade, business or profession, and not as a consumer.

2. What the service is (and is not)

• Veritain compiles due-diligence reports about companies (and, as cited public-record facts, their directors) from UK public registers, and provides a company-level GREEN / AMBER / RED risk indicator, a connected-entity ("phoenix") map, and flagged adverse events. We also offer an optional Monitoring service that alerts you to changes on a company you are watching.
• The report is business information about a company — not a credit reference and not a consumer credit report. It must not be used to make a decision about a consumer or under the consumer-credit regime. Veritain is not a credit reference agency.
• Reports provide evidential support to inform your commercial decision and are not conclusive proof. You must exercise your own judgement and verify independently before relying on a report in any legal, credit, or other significant decision. The report is decision-support: the decision, and responsibility for it, is yours — Veritain does not make the decision for you and does not guarantee any outcome.
• Our headline verdict assesses the company. Any information about an individual is presented as a dated, cited public-record fact — an indicator, not a conclusion about that person.
• Veritain does not provide legal, financial, or investment advice.

3. Acceptable use

You must have a legitimate business purpose for each enquiry (e.g. assessing a counterparty, a credit decision, fraud prevention, or debt recovery). You must not use Veritain:

• to harass, intimidate, or unlawfully discriminate against any person;
• for any purpose prohibited by law, or that is not a genuine business-risk purpose;
• to build or enrich a general database on private individuals, or as a "people-search" tool;
• to redistribute, resell, or republish the underlying source records (see section 6).

You are responsible for your own lawful basis for making an enquiry about identifiable individuals.

Reports that name an individual. Some reports (Recoverability, Locate & Serve) can include a finding about a named person — for example a personal insolvency on the public register. For those reports you must select the lawful purpose for which you are asking, from the options we offer (debt recovery, existing or contemplated legal proceedings, service of legal documents, or diligence before entering a contract). We record that choice with your order. Asking for one of these reports for any other reason — including curiosity, or building a picture of someone you are not in a genuine dispute or dealing with — is a breach of these Terms.

You can only ask about a person who is a serving controlling officer of the company you are checking. Veritain has no way to search for a person by name, by design.

You must keep each report confidential to your own decision and use it on a need-to-know basis — it is licensed for your internal use (section 6), not for publication, onward supply, or building any kind of shared "blacklist" of companies or people.

4. Reports, verification, and turnaround

• How the verdict is produced: the GREEN / AMBER / RED indicator is produced by a fixed, auditable set of deterministic rules applied to the public records (not open-ended "AI guesswork"). Any written summary is generated only from those structured findings and cannot introduce new facts or an adverse judgement about a named individual.
• Human review: straightforward (GREEN) reports may be issued automatically; the most significant cases — a RED outcome, a confirmed sanctions match, a safeguarding concern, or a low-or-conflicting- confidence result — are reviewed by a person before release, which may add time. We aim to complete any human review within 24 hours. A sanctions indication triggers our anti-money-laundering process before any report is released.
• As at: reports reflect the public records as at the time of the enquiry; registers can lag or contain errors. Where a source could not be checked we say so and lower our confidence — we do not treat "couldn't check" as "clear". We are not liable for inaccuracies in the underlying public sources.
• Correction / right to review: if you (or a person a report concerns) believe a record is wrong or unfairly presented, contact us (section 10 / the Privacy Policy) and we will investigate and, where appropriate, correct, annotate, or arrange human review; where the error is on a public register we will help identify how to correct it at source.

5. Pricing, payment, and refunds

• Reports are pay-as-you-go at the prices shown at checkout (Reverse Check £19 / Standard £35 / Premium £49; plus any opt-in paid searches such as CCJ lookups). Payment is taken via Stripe.
• The price shown is the total price. Abacie Gamma Limited is not registered for VAT, so no VAT is charged, added or shown, and the document we issue is a receipt rather than a VAT invoice. There is nothing added at checkout.
• We charge only when your report is ready. At checkout we place a temporary authorisation hold for the price shown; we capture it (take the payment) only when your report is issued. If we cannot produce or, after review, cannot issue a report — for the valid company number you provided — the hold is released and you are not charged (a released hold never becomes a charge, so there is nothing to refund).
• Once a report has been issued, its fee is non-refundable (reports are delivered digitally and immediately). If you believe an issued report is materially inaccurate, contact us and we will investigate and, where appropriate, re-issue or refund it.
• Locate & Serve — a tracing search is charged when it is run. Locate & Serve is different from our other reports, and we tell you so before you pay. It draws on a licensed per-search tracing source that charges us for each search whether or not the individual is found. For that product only, we therefore take the payment when the search is performed, not when a result is confirmed. A nil or inconclusive trace is a valid outcome of a search we carried out and paid for, and is not refundable. You are buying the search, not a guaranteed result.
• The clause above applies only to Locate & Serve. Our company reports — Counterparty Report, Reverse Check and Recoverability — keep the authorisation-hold treatment described above: if we cannot produce or issue one, the hold is released and you are not charged.

6. Intellectual property and data licences

• We grant you a non-exclusive, non-transferable licence to use a report for your own internal business decision. You may not resell, republish, or redistribute a report or the raw records within it.
• Public-record data is used under its applicable licence (e.g. the Open Government Licence, with attribution). Some sources are cited, not redistributed (e.g. County Court Judgment data from Registry Trust). The Veritain name, logo, and report format are our property.

7. Liability

• Nothing in these Terms excludes liability that cannot be excluded by law (e.g. for death or personal injury caused by negligence, or for fraud).
• Subject to that, and because reports are decision-support and not conclusive, our total liability arising out of or in connection with the service is limited to the greater of (a) the total fees you paid to us in the 12 months before the claim, or (b) £100, and we are not liable for indirect or consequential loss, loss of profit, or losses arising from your reliance on a report without independent verification.

8. Suspension and termination

We may suspend or terminate access for breach of these Terms (including misuse under section 3). You may stop using the service at any time.

9. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
